What follows is the arrangement we propose. It explains who you are to us, what you will do, what we will pay you, and the terms you will be agreeing to. Read it carefully. Push back on anything that is wrong. Sign at the bottom when it is right.

You introduce prospective clients to Simple Day through your unique referral link. We run the questionnaire, draft the proposal, build the website, and look after the client. You earn twenty per cent (20%) on every payment those clients make to us, for as long as they remain customers, subject to the terms in Section 06.

You are an independent contractor, not an employee. You set your own hours, choose your prospects, and own your client relationships. There is no quota. There is no exclusivity.

All figures in GBP. Commissions transferred automatically via Stripe Connect within 24 hours of the corresponding client payment clearing.

Commissions are paid automatically via Stripe Connect. After signing you will connect a Stripe account (or create one — free, takes two minutes). Stripe holds your bank details; Simple Day never sees your account number.

The link below activates the moment you sign this agreement. Any prospective client who arrives at our questionnaire through it is attributed to you, and any payment they make pays you.

The following clauses form part of this agreement. By signing below you confirm you have read and accepted them.

1. 01Independent contractor.You enter this engagement as a self-employed independent contractor, not as an employee, worker, or agent of Simple Day Ltd. You are responsible for your own income tax, National Insurance, and any VAT obligations.
2. 02Commission rate.Simple Day will pay you commission on the gross fees collected from clients introduced by you through your unique referral link, at the rate corresponding to your tier (starting at 20% for Apprentice, up to 30% for Founder, plus a permanent +2% for Founding Partners), on the terms below.
3. 03When commission is paid.Commission on each successful payment is paid within twenty-four (24) hours of the corresponding client payment clearing into Simple Day's account. For Studio Monthly clients this means you are paid each month for as long as the client continues to pay.
4. 04Clawback.If a client cancels, charges back, or refunds within ninety (90) days of their first payment clearing, the commission paid to you in respect of that client will be reversed and deducted from the next payout (or invoiced to you if no payout is pending).
5. 05No quotas, no exclusivity.There is no minimum number of clients you must close, and no quota. You are free to take on other work, represent other businesses, and refer clients to other providers. Simple Day is likewise free to engage other partners.
6. 06No misrepresentation.When introducing clients you may only quote prices, timelines, scope, and terms that Simple Day has published or that you have specifically agreed with us in writing. You may not promise additional discounts, custom terms, or services we do not offer.
7. 07Data protection.Any personal data of prospective clients you collect must be processed lawfully under UK GDPR and the Data Protection Act 2018. You must direct prospective clients through your referral link rather than transcribing their details into other systems.
8. 08Use of brand and materials.Simple Day grants you a non-exclusive, revocable licence to use our brand name, logo, decks, and other materials we supply, solely for the purpose of introducing prospective clients. All such materials remain Simple Day's property.
9. 09Confidentiality.Each party will keep confidential information of the other private. This obligation applies during the engagement and for twenty-four (24) months after its end.
10. 10Payouts via Stripe Connect.Commissions are paid automatically via Stripe Connect to the payout account you connect after signing. Simple Day uses Stripe's Express platform; your bank details are held by Stripe, not by Simple Day. You are responsible for completing Stripe's identity verification and keeping your payout details current.
11. 11Termination.Either party may end this engagement at any time by giving fourteen (14) days written notice. Commissions earned before termination remain payable, subject to the clawback window in clause 04.
12. 12Limitation of liability.Simple Day's total aggregate liability under this engagement is capped at the total commissions paid to you in the twelve (12) months preceding the event giving rise to the claim. Nothing in this engagement excludes liability for fraud, death, or personal injury caused by negligence.
13. 13Variations.Any variation to this engagement, including changes to the commission rate or payout terms, must be agreed in writing (email is sufficient) by both parties. Simple Day will give thirty (30) days' notice before changing commission rates for new sales.
14. 14Governing law and offer.By sending this contract, Simple Day Ltd makes a formal offer of engagement on the terms set out herein. By typing your name in the acceptance block and clicking to activate, you accept that offer and a binding contract is formed. This engagement is governed by the laws of England and Wales and subject to the exclusive jurisdiction of its courts.
